Scope
These terms apply to your use of apexworldlabs.com and any free or evaluation tiers we offer publicly. Paid use of Aether is governed by a separately executed Master Services Agreement and Order Form, which control over these terms in case of conflict.
Eligibility
You must be at least 16 years old and authorised to bind your organisation to these terms. The service is not offered in jurisdictions where it is prohibited by applicable law or where Apex has chosen not to operate.
Your account
- You are responsible for keeping your account credentials secure.
- You may not share access with anyone outside your organisation.
- You must promptly notify us at security@apexworldlabs.com of any suspected unauthorised access.
- We may suspend or terminate accounts that violate these terms, the Acceptable-Use Policy or applicable law.
Acceptable use
You agree to comply with the Acceptable-Use Policy at /legal/acceptable-use. Breach of the AUP is a material breach of these terms.
Customer content
You retain all rights, title and interest in your customer content. You grant Apex a limited licence to process customer content solely as necessary to provide the service. We do not use customer content to train base models.
Fees and refunds
Free tiers carry no fee. Paid tiers and pilots are invoiced per the applicable Order Form. Refunds are governed by the MSA and Order Form; pilots with written win conditions are refunded if the win condition is not met.
Service availability
The marketing site and free tiers are provided "as is" with no uptime guarantee. Paid tiers have SLAs documented in the Order Form. We publish live status at /status and a rolling event history.
Suspension and termination
We may suspend or terminate access for material breach, fraud, threats to platform integrity, or sustained non-payment. We will give you reasonable notice and an opportunity to cure where the law and the circumstances allow.
Intellectual property
Apex and its licensors own Aether, the platform code, the models, and the documentation. You retain ownership of your customer content. Open-source components used in the platform are governed by their original licences; we publish an SBOM per release.
Warranties and disclaimers
The free tier and the marketing site are provided "as is" without warranty of any kind. Paid-tier warranties are set out in the MSA. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement on free tiers.
Limitation of liability
For free-tier use, our aggregate liability is capped at the greater of US$100 or fees you paid Apex in the prior twelve months (which for free-tier use is zero). For paid-tier use, the MSA controls. Liability for fraud, gross negligence and other excluded categories applies as required by law.
Governing law
Delaware, USA, unless your MSA specifies otherwise. Disputes are resolved in the state and federal courts of San Francisco County, California.
Changes
We update these terms when material changes occur. Material changes are announced via a banner on apexworldlabs.com and via email to account contacts; continued use after notice constitutes acceptance.
